Ta Yang Group Postpones Circular Despatch for Capital Reorganisation and Rights Issue to 21 August 2026

Ta Yang Group Holdings announced an additional postponement in sending its shareholder circular related to the proposed capital reorganisation and rights issue. The circular—originally scheduled for release on or before 7 August 2026—is now expected to be dispatched no later than 21 August 2026.

The document will contain details of the capital reorganisation, further information on the rights issue, the Independent Board Committee’s recommendation to independent shareholders, an independent financial adviser’s letter, the notice convening the extraordinary general meeting, and other disclosures required under Hong Kong listing rules.

Management indicated that extra time is needed to finalise the information to be included in the circular. Consequently, the previously announced timetable for the capital reorganisation and rights issue remains under review; a revised schedule will be published as soon as practicable.

The board currently comprises two executive directors (Shi Qi and Li Jiuhua), four non-executive directors (Law Wai Ip Vincent, Gu Shixiang, Han Lei and Wang Dongzhu) and two independent non-executive directors (Zhang Li and Xie Jun).
