Convertible Bond Activity During the month, limited conversions under two MCB tranches generated the entire increase in issued shares: 1. Class C MCBs (USD 214.45 million outstanding at August-end) recorded USD 0.20 million converted, adding 90,163 shares.

No conversions occurred in Class A, Class D, or the two bilateral MCBs. Post-conversion principal balances are: • Class A MCB: USD 129.15 million (shares still issuable: 651.59 million) • Class B MCB: USD 351.10 million (shares issuable: 478.32 million) • Class C MCB: USD 214.25 million (shares issuable: 97.07 million) • Class D MCB: USD 160.86 million (shares issuable: 110.74 million) • First Bilateral MCB: USD 21.19 million (shares issuable: 106.89 million) • Second Bilateral MCB: USD 16.62 million (shares issuable: 83.86 million)

No Warrants, Treasury Transactions or Other Equity Arrangements • The period featured no warrant exercises, share buy-backs, or other share issuance programmes.

Regulatory Compliance • The filing confirms full adherence to Hong Kong Listing Rules, including public-float and disclosure requirements, with all necessary corporate and regulatory approvals obtained.

Overall, Sino-Ocean’s capital structure remained broadly stable in September, with only a negligible increase in outstanding shares stemming from routine MCB conversions.
