Sino-Ocean Service AGM: Shareholders Approve All Resolutions Including Final Dividend and Mandates

On 21 May 2026, Sino-Ocean Service Holding Limited held its annual general meeting (AGM), where all resolutions detailed in the 28 April 2026 notice were approved by poll.

Key AGM Outcomes • Shareholders representing 1.18 billion issued shares were eligible to vote; no treasury shares or voting restrictions applied. • All ordinary resolutions—including adoption of 2025 financial statements, declaration of a final dividend, re-election of three directors, and re-appointment of BDO Limited as auditor—secured at least 98.05% support. • The general mandate to issue new shares (resolution 5(A)) and the related extension mandate (5(C)) passed with 98.05% approval, while the share-buy-back mandate (5(B)) received 99.99% support. • A special resolution to adopt revised constitutional documents was approved with 99.99% of votes cast.

Voting Details • Resolutions 1–4 and 5(B) attracted 770.76 million votes in favor against 500 votes opposed (99.99% approval). • Resolutions 5(A) and 5(C) each received 755.76 million votes in favor and 15.00 million votes against (98.05% approval). • The special resolution recorded 755.76 million votes for and 500 votes against.

Governance Notes • Tricor Investor Services Limited acted as scrutineer. • Seven of eight directors attended the AGM; independent non-executive director Mr. Leung Wai Hung was absent due to business commitments.

All approved resolutions are now effective, including board-authorised mandates for share issuance, share buy-backs, and the implementation of updated constitutional documents.
