SUNAC Maintains 19.97 B Issued Shares in September; 4.86 B Shares Eligible Under 2028 Mandatory Convertibles

Sunac China Holdings Limited (SUNAC, HKEX: 1918) reported no change in its issued share capital for September 2026, keeping the total at 19.97 billion ordinary shares. The company held no treasury shares, and management confirmed compliance with the Hong Kong Exchange’s minimum 25% public-float requirement.

Authorised capital stood unchanged at 30 billion shares with a par value of HKD 0.10, representing HKD 3.00 billion in total authorised share capital.

Convertible instruments remain a key potential source of future dilution. SUNAC’s outstanding zero-coupon mandatory convertible bonds due 2028 (MCB 2), issued on 23 December 2025 and denominated in USD, had a face amount of USD 2.40 billion at month-end. Based on the HKD 3.85 conversion price, these bonds could be exchanged for up to 4.86 billion new shares, though no conversions were recorded during September.

Under the Employee Stock Ownership Plan approved on 9 September 2025, 284.56 million share awards are available for grant; no shares were issued or transferred in September under this scheme.

The company filed the required confirmations with the Hong Kong Stock Exchange on 5 October 2026, affirming that all share-related activities during the month complied with listing rules and regulatory obligations.
