Baozun marginally lifts outstanding share count after RSU allocation and fresh buybacks

Baozun Inc. disclosed minor adjustments to its capital structure following restricted share unit (RSU) vesting and continued share buybacks executed on the Nasdaq Global Select Market.

On 30 September 2026, the company transferred 180,000 treasury shares to employees under the 2022 Share Incentive Plan. The allocation represented 0.11 % of Baozun’s issued share base prior to the transaction and was booked at a nil issue price, reflecting their award nature.

Concurrently, Baozun repurchased 45,000 shares on 30 September 2026 at prices ranging from USD 1.01 to USD 1.03 per share, and a further 44,124 shares on 1 October 2026 at USD 1.01–1.05 per share. The two buybacks cost USD 91,280.39 in aggregate and added the repurchased shares to treasury stock.

Net of these movements, issued shares outstanding increased by 90,876 to 161.13 million, a 0.06 % uptick. Treasury shares declined to 13.15 million, while total issued capital remained unchanged at 174.28 million shares.

The repurchases were made under the mandate approved on 16 June 2026, which authorises up to 17.44 million shares for buyback. Cumulative purchases under this authority now stand at 176,547 shares, equal to 0.10 % of the issued share count on the mandate date. A 30-day moratorium on new share issues or treasury-share disposals runs through 31 October 2026, in line with Hong Kong listing rules.
