MIE Holdings has scheduled its annual general meeting (AGM) for 12 June 2026 in Hong Kong. Key resolutions to be put to shareholders include:
• Board composition – Executive directors Zhao Jiangwei and Wong Yiu Kui, independent non-executive directors Yeung Yat Chuen and Peng Ping will stand for re-election.
• Capital authorities – Management is asking for: – A 10% share buy-back mandate, equivalent to up to 338.65 million shares based on the current issued share capital of 3.39 billion shares. – A 20% general issuance mandate, representing up to 677.31 million new shares, plus any shares repurchased under the 10% mandate.
• Auditor – The Board proposes re-appointing BDO Limited as external auditor for the financial year ending 31 December 2026, with an estimated audit fee of RMB 3.10 million.
• Governance documents – Shareholders will vote on adopting the company’s fourth amended and restated memorandum and articles of association to reflect updated Hong Kong Listing Rules, including provisions for hybrid and virtual meetings.
The AGM notice and proxy form were dispatched on 20 May 2026. Shareholders must lodge proxy forms by 10:00 a.m. on 10 June 2026 (Hong Kong time). Register of members will be closed from 9 June to 12 June 2026 for voting eligibility.
