SMOORE INTL grants 2.20 million awarded shares to seven employees under amended incentive scheme

SMOORE INTL (Smoore International Holdings Limited) disclosed that its board approved the grant of 2.20 million awarded shares to seven eligible employees on 24 August 2026. The shares, issued at no purchase cost to the grantees, will vest in tranches between 24 August 2027 and 24 August 2030.

Based on the HK$10.18 closing price on the grant date, the equity package has a notional market value of approximately HK$22.40 million. Allocation was determined by position, tenure and the company’s internal performance-evaluation ratings. Vesting outcomes remain subject to individual performance assessments and the claw-back provisions embedded in the amended share award scheme, which provide for forfeiture upon cessation of employment.

All shares will be sourced from the scheme’s existing unvested pool managed by the scheme trustee. After this grant, 303.30 million shares remain available for future awards.

The company confirmed that none of the grantees is a director, chief executive or substantial shareholder, and no individual allocation exceeds the 1 percent threshold stipulated by Hong Kong Listing Rule 17.03D(1). No financial assistance has been extended to participants for share purchases.

The award aims to strengthen talent retention and align employee interests with long-term shareholder value creation.
