Momentum Financial Holdings Limited has issued its circular for the 30 June 2026 Annual General Meeting (AGM), outlining several key resolutions for shareholder approval.

• General Issuance Mandate – Board requests authority to allot, issue or transfer treasury shares up to 20% of issued share capital (maximum 685.76 million new shares, based on the 3.43 billion shares outstanding as of 3 June 2026). – A further extension would allow the mandate to increase by the number of shares repurchased under the buy-back mandate.

• Share Repurchase Mandate – Board seeks approval to repurchase up to 10% of the share base, equal to 342.88 million shares. – Repurchased shares may be cancelled or held as treasury shares subject to capital-management considerations. – The company confirms no share repurchases occurred in the six months to 3 June 2026.

• Director Re-elections – Executive Directors: Mr Cao Wenbo (also CEO and AGM board representative) and Mr Li Zilun (Chief Investment Officer). – Independent Non-executive Directors: Mr Chen Yifan and Mr Ye Fei. – Both executive directors receive HKD 50,000 monthly; INEDs are entitled to HKD 120,000 annually.

• Auditor Re-appointment – McMillan Woods (Hong Kong) CPA Limited proposed to continue as external auditor for FY 2026 with an estimated audit fee of HKD 0.80 million.
