Momentum Financial Completes HK$13.90 Million Share Placement, Enlarging Share Capital by 1.97%

Momentum Financial Holdings Limited announced the completion of its new-share placement on 30 June 2026. Key terms are as follows: the placing agent placed 68.94 million new shares at HK$0.205 each, representing 1.97% of the enlarged share capital.

The transaction generated gross proceeds of HK$14.13 million and net proceeds of approximately HK$13.90 million after deducting commissions and related expenses. The company plans to allocate about 78.42% (HK$10.90 million) to cross-border e-commerce initiatives and the remaining 21.58% (HK$3.00 million) to general working capital, including payroll, rental and operating costs. Management expects full utilisation of the funds by 31 December 2026.

Post-placement, total shares outstanding increased from 3.43 billion to 3.50 billion. The largest shareholders’ stakes were diluted marginally: Triumph Hope Limited’s holding fell from 14.62% to 14.33%, Forever Brilliance International Group from 17.57% to 17.22%, Nova Pacific Investments from 9.71% to 9.52%, and Mr. Li Zilun’s personal stake from 10.55% to 10.34%. The new placees collectively hold 1.97% of the company; none became substantial shareholders, and all are independent third parties.

According to the board, the shortfall from the originally proposed 104.27 million shares was due to the withdrawal of a sub-placing agent for technical reasons. All conditions precedent to the placing agreement have been fulfilled, finalising the capital raise under the existing general mandate.
