Ta Yang Announces Further Delay in Circular Dispatch; Capital Reorganisation and Rights Issue Timetable to Be Revised

Ta Yang Group Holdings Limited has postponed the despatch date of its shareholder circular related to the proposed Capital Reorganisation and Rights Issue. The document, initially scheduled for release on or before 21 August 2026, is now expected on or before 31 August 2026.

The circular will include: 1. Full particulars of the Capital Reorganisation. 2. Additional details of the Rights Issue. 3. A recommendation letter from the Independent Board Committee to Independent Shareholders. 4. An independent financial adviser’s opinion. 5. Notice of the extraordinary general meeting. 6. Other disclosures required by the Hong Kong Listing Rules.

Management cited the need for more time to prepare and finalise the enclosed information as the reason for the delay. Consequently, the timetable for both the Capital Reorganisation and the Rights Issue remains under review; a revised schedule will be released once finalised.

The announcement was authorised by Chairlady Shi Qi. As of 21 August 2026, Ta Yang’s board comprises two executive directors, four non-executive directors, and two independent non-executive directors.
