Shanghai Growth Investment AGM: All Proposals Secure Approval, 100% Support for FY25 Statements, 10% Buy-Back & 20% Issuance Mandates Renewed

Shanghai International Shanghai Growth Investment Limited (“Shanghai Growth Investment”) announced that every resolution tabled at its Annual General Meeting on 26 June 2026 was passed by poll, with strong shareholder backing across the board.

All six ordinary resolutions gained the required simple majority:

• Financial Statements Adopted: The audited financial statements for the year ended 31 December 2025, together with the directors’ and auditor’s reports, received full support—5.54 million votes in favour, representing 100% of votes cast.

• Board Composition Secured: Five re-election resolutions—covering Executive Director Zhao Tian, Non-executive Director Shih Mei Ling, and Independent Non-executive Directors Wong Albert Ka Wah and Lee Chan Wah—each attracted 91.80% support, with 8.20% of votes cast against. Shareholders also authorised the Board to determine directors’ remuneration at the same support levels.

• Auditor Re-appointment: Wilson & Partners CPA Limited was re-appointed as external auditor with 100% approval, and the Board was authorised to fix its remuneration.

• Capital Management Flexibility: – Share Repurchase Mandate: Shareholders renewed a mandate allowing the Board to repurchase up to 10% of issued shares, backed by 91.80% of votes cast. – General Issuance Mandate: A mandate to issue, allot or deal with additional shares up to 20% of issued capital, including sale or transfer of treasury shares, also received 91.80% support. – Extension Mandate: An extension permitting the Board to add repurchased shares to the 20% issuance limit attained identical support.

Voting & Participation: • Shares in issue at the record date totalled 17.63 million; no treasury or pending-cancellation shares were outstanding. • Valid votes cast on each resolution amounted to 6.03 million (5.54 million for, 0.50 million against), indicating a shareholder turnout of approximately 31.45%. • No shareholders were required to abstain, and no special rights shares were subject to preferential or compulsory voting conditions.

Tricor Investor Services Limited acted as scrutineer for poll vote-counting. The Board, including all directors, attended the AGM either in person or via electronic means.

The successful passage of all resolutions provides Shanghai Growth Investment with continued governance stability, an extended auditor mandate, and renewed flexibility for capital management through share repurchases and potential new issuances.
