Momentum Fin Issues 106.6 Million New Shares Following Conversion of Convertible Bonds

Momentum Fin (01152) has announced the issuance of new shares following the exercise of conversion rights attached to its convertible bonds.

On May 28, 2026, the company received conversion notices from Mr. Li Yang and Ms. Wang Guangwen.

The notices exercised the right to convert a total principal amount of HK$7.7841 million in convertible bonds into shares.

The conversion will be executed at a price of HK$0.073 per share, resulting in the issuance of 106.6 million new shares.

The convertible bonds held by Mr. Li, with a principal of HK$3.92199 million, and those held by Ms. Wang, with a principal of HK$3.86215 million, were transferred from Mr. Chen Weiping and Mr. Wang Lidong, respectively.

To the best of the directors' knowledge, information, and belief, following reasonable inquiries, both Mr. Li and Ms. Wang were independent third parties at the dates of the transfers and the announcement date.

They have no connection to the company, its related parties, or its creditors.

In response to the exercise of the conversion rights, the company will allot and issue the 106.6 million shares to the subscribers under a specific mandate.
