Shanghai International Shanghai Growth Investment Limited (abbreviated “Shanghai Growth”) has convened an extraordinary general meeting (EGM) for 20 May 2026 at 10:00 a.m., Unit 3205, 32/F, AIA Tower, 183 Electric Road, North Point, Hong Kong.
Key resolutions to be tabled:
1. Proposed rebranding • Special resolution seeks to change the English name from “Shanghai International Shanghai Growth Investment Limited” to “Eminence Capital Group Limited”. • A dual foreign Chinese name “楠爵資本集團有限公司” will be adopted simultaneously. • Implementation is conditional on approval by the Registrar of Companies in the Cayman Islands. • Any one director or the company secretary will be authorised to complete all requisite filings and formalities.
2. Expansion of authorised share capital • Ordinary resolution proposes to raise authorised capital from US$1.80 million (18.00 million shares, par value US$0.10 each) to US$9.00 million (90.00 million shares). • The increase involves creating 72.00 million additional shares of the same par value, ranking pari passu with existing shares. • A director or the company secretary will be empowered to execute related documentation.

• Shareholders must lodge transfer documents by 4:30 p.m. on 14 May 2026 to qualify for attendance and voting. • The register of members will close from 15 May 2026 to 20 May 2026, both dates inclusive. • All EGM resolutions will be decided by poll. • Contingency arrangements are in place for severe weather; any adjournment will be announced on the company’s and HKEXnews websites.
As of the notice date (4 May 2026), the board comprises one executive director, two non-executive directors and three independent non-executive directors.
