On 6 August 2026, Tesson Holdings Limited announced the completion of its share placement and connected underwriting arrangement, following the fulfilment of all conditions under the Placing Agreement and Underwriting Agreement.
The transaction involved the issuance of 70,000,000 new shares at HK$1.50 each, generating gross proceeds of HK$105.00 million. Of the total, 36,802,000 shares were taken up by independent placees for HK$55.20 million, while controlling shareholder Double Key subscribed for the 33,198,000 unplaced shares under the underwriting commitment, contributing HK$49.80 million.
Post-placement, Tesson’s issued share capital expanded by 18.94% to 439,685,228 shares. The new shares account for 15.92% of the enlarged share base.
Double Key’s holding increased from 210,781,542 to 243,979,542 shares, but its equity stake diluted from 57.02% to 55.49%. Independent placees collectively now own 36,802,000 shares, representing 8.37% of the company. The remaining public shareholders hold 30.45% of the enlarged capital.
The placement was executed under a specific mandate approved by shareholders, with Double Key’s underwriting classified as a connected transaction.
