Momentum Financial converts HK$7.78 million in bonds into 106.63 million new shares, completing creditor conversion

Momentum Financial Holdings Limited announced the conversion of HK$7.78 million principal amount of convertible bonds held by Mr. Li Yang and Ms. Wang Guangwen into 106.63 million ordinary shares at HK$0.073 per share. The transaction closed on 2 June 2026 and represents the final tranche of conversion under the company’s specific mandate linked to its 2025 debt-restructuring programme.

Following the allotment, the company’s issued share capital increased to 3.43 billion shares. The newly issued shares account for 3.21% of the pre-conversion share base and 3.11% of the enlarged share capital.

Revised shareholding structure: • Forever Brilliance: 602.31 million shares, 17.57% • Creditors Concert Group: 602.35 million shares, 17.57% • Triumph Hope Ltd.: 501.33 million shares, 14.62% • Executive Director Li Zilun: 361.76 million shares, 10.55% • Mr. Li Yang: 53.73 million shares, 1.57% • Ms. Wang Guangwen: 52.91 million shares, 1.54% • Other public shareholders: 1.86 billion shares, 54.15%

All convertible bonds issued to creditors under the restructuring have now been fully converted, eliminating the outstanding balance of such instruments on the company’s books.
